[Rotary] bylaws - and club meeting schedule

Pursuant to the majority club vote, there will now be a regular scheduled club meeting to be held on the first, second, and third Thursday of each month.  There will be a board meeting held on the fourth Thursday of each month.  Non board members are encouraged to attend the board meeting, but may choose to meet with their service committee instead, which will still count as a fourth meeting.

Attached are suggested by law amendments which were presented to the club in October by Harold Hauck.  According to article F8 of the Mendocino Rotary Club bylaws,

Any member may propose an amendment of these Bylaws by presenting the proposed change in writing at a Board meeting.
Amendments may be adopted at any regular meeting by an affirmative vote of two-thirds of the members present provided that notice of any proposed amendment shall have been given at two (2) previous regular meetings.  No amendment can be made which is in conflict with Rotary International Constitution and By-Laws.
One-third of the membership shall constitute a quorum at the annual and regular meetings of the Club.

The board has voted to approved the bylaws as presented in the attached correspondence as well as a more recent change which is shown below.  Please review the attached and the amendment shown below and be prepared to vote in favor or not in favor of each individual change.


Article F -Operations
5. (Modification) Regular luncheon meetings are held on the first, second, and third, Thursday of each month between 12:00 and 1:15 p.m. The program for the meeting on the second Thursday of each month will be the club's Board of Directors meeting. Attending three regular club meetings and the Board of Directors meeting or one other club activity during the month are the attendance goals for the club members. No meeting will be held on Thanksgiving Day or during the week in which Christmas and New Year's Day fall on Thursday. No luncheon meetings will be held during the weeks in which Charter and Debunking meetings are held.

If the above Article F 5 is approved, then I suggest that the recommendation re.

Article F -Operations
13. (Modification) Regular meetings of the Board shall be held on a date chosen by the club president to a take place in the fourth week of each month. A majority of the Board members shall constitute a quorum of the Board.
