Dear Ms. Courtney,

Have you visited the KMUD website lately? Check out their schedule:

http://www.kmud.org/programs-mainmenu-11/program-schedule.html

Do you see any NPR? Or syndicated shows besides 'Democracy Now'?

I don't. Now look at the KZYX schedule:

http://www.kzyx.org/index.php/kzyx-weekly-schedule

Lots of NPR and syndicated shows.

Then look at KMUD's board meeting minutes:

http://kmud.org/about/board-of-directors-mainmenu-3/board-meeting-minutes-mainmenu-6.html

Four board meetings from 2016 are documented there. Now look at the

latest one:

http://kmud.org/about/board-of-directors-mainmenu-3/item/3190.html

At the bottom there's a schedule of committee meetings. A whole bunch

of them. Including one for policy. And one for mediation. Just for grins,

look at the list of meeting minutes for KZYX:

http://www.kzyx.org/index.php/about-us/station-business/meeting-minutes

See any for 2016? I don't. Okay. Let's look at the last ones. From November

of 2015:

http://www.kzyx.org/Board/11_2_15%20MINUTES%20OF%20KZYX%20BOARD%20OF%20DIRECTORS.pdf

I don't see any committee meetings scheduled there. Do you? I don't see

a schedule for committee meetings anywhere. Now go back to the KMUD

website. At the financial information:

http://www.kmud.org/about/about-kmud/financial-information-mainmenu-170.html

Open up the latest Form 990. See who files it? The president does.

There's even a signature on it. KMUD has a Form 990 review policy.

They make governing documents available on request. And they've

actually got audited financial statements. With over half a million in

net assets.

Now look at the latest Form 990 for KZYX:

http://kzyx.org/Board/audits/MCPB%202013%20Tax%20Return.pdf

It's filed by a paid employee. With no signature. No Form 990 review

policy. No governing documents available. And no audited financial

financial statements. With $160,000 in net assets. Three years ago.

What's that number today? It's about $10,000. Max.

Before you go. Take another look at KMUD's Form 990. At page 7.

You'll see a list of directors. And the time they spend on KMUD every

week. Can you add, Ms. Courtney? They spend 24 hours a week on

KMUD. How much time do KZYX directors spend on KZYX? Look at

your Form 990. The answer is zero. KZYX directors spend no time on

KZYX. That's according to a paid employee. Hired to do everything.

And stating so under penalty of perjury.

I'd like you to look at one last thing. It's a KZYX budget for 2014:

http://kzyx.org/Board/MCPB%20FY2015%20Budget%20As%20Passed%207-7-14.pdf

Check out the third item on page two. $11,945 in legal expenses.

For 'problem people'. Estimated. Then look at the final figure for that

category on your 2014 Form 990:

http://990s.foundationcenter.org/990_pdf_archive/680/680050440/680050440_201406_990.pdf

Turn to page 10. Under Item 11 (b). See the amount? $29,164 in legal

expenses. For 'problem people'. I'll say.

The 'problem people' at KZYX are directors like you, Ms. Courtney.

And the problem is laziness.

Sincerely,

Scott M. Peterson

Mendocino
