Nice!

BTW, I always thought that "SM" stood for "Stuart's Mommy".

Subject: [Kzyxtalk] KZYX - "a significant deficit"

Dear Mr./Mrs. SM,

I just found a quote from a friend of yours. It was tucked into a MCPB State of the

Station Report from November of 2015 here:

http://www.kzyx.org/Board/KZYX%20State%20of%20the%20Station%20Report%20November%202015.pdf

The quote is on page three. In a paragraph titled, 'Major Donor Campaign'. It reads, "I

need to express my concern to the entire Board that the budget we approved at the

end of June included $55,000.00 in major donor contributions as follows: A Legal Bill

Event ($10K), End of Year ($30K), & Spring House event ($15K). Obviously, perhaps,

we are not restricted to those particular events, but as far as I know, there are no

plans for generating any of these funds at the moment, and I consider this aspect of

fundraising to be a Board responsibility. The staff, of course, will support such efforts

in any way required, but I don't think they could or should take the lead on them.

Again, perhaps obviously, if these funds are not generated during this fiscal year, it

could leave us with a significant deficit."

The author is Mr. Stuart Campbell. If I understand this quote correctly, your friend

expects the Board of Directors to raise $55K, but not the paid help. All of this while

they keep the Board of Directors in the dark. By keeping Form 990s to themselves

for five years running. Rhetorically speaking, Mr./Ms. SM, how is that reasonable?

Then we have the issue of the Board of Directors' actual responsibility. According

to my reading of the California State law, it's acting in the best interests of the

corporation. Period. You can find the California Corporations Code here:

http://www.leginfo.ca.gov/cgi-bin/displaycode?section=corp&group=05001-06000&file=5230-5239

I'm sure that your reading skills are much better than mine. So when you find the

part where the Board of Directors is supposed to do all the fundraising, please let

me know where it is.

And finally, the consequence for not rising to the occasion here. If the MCPB Board

doesn't pony up, KZYX will be in the hole. Am I reading that correctly?

Mr./Ms. SM, your friend's gumption is something to behold. I truly admire people

like that. As long as they're properly identified. Which is the point here.

Sincerely,

Scott M. Peterson

Mendocino
