<body class='hmmessage'><div dir='ltr'>Dear Mr./Mrs. SM,<div><br></div><div><br></div><div>I just found a quote from a friend of yours. <span style="font-size: 12pt;">It was tucked into a MCPB State of the </span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">Station Report from November of 2015 here:</span></div><div><br></div><div><br></div><div><a href="http://www.kzyx.org/Board/KZYX%20State%20of%20the%20Station%20Report%20November%202015.pdf" target="_blank">http://www.kzyx.org/Board/KZYX%20State%20of%20the%20Station%20Report%20November%202015.pdf</a></div><div><br></div><div><br></div><div>The quote is on page three. In a paragraph titled, 'Major Donor Campaign'. It reads, "I</div><div><br></div><div><br></div><div>need to express my concern to the entire Board that the budget we approved at the</div><div><br></div><div><br></div><div>end of June included $55,000.00 in major donor contributions as follows: A Legal Bill</div><div><br></div><div><br></div><div>Event ($10K), End of Year ($30K), & Spring House event ($15K). Obviously, perhaps, </div><div><br></div><div><br></div><div>we are not restricted to those particular events, but as far as I know, there are no</div><div><br></div><div><br></div><div>plans for generating any of these funds at the moment, and I consider this aspect of </div><div><br></div><div><br></div><div>fundraising to be a Board responsibility. The staff, of course, will support such efforts</div><div><br></div><div><br></div><div>in any way required, but I don't think they could or should take the lead on them. </div><div><br></div><div><br></div><div>Again, perhaps obviously, if these funds are not generated during this fiscal year, it </div><div><br></div><div><br></div><div>could leave us with a significant deficit."</div><div><br></div><div><br></div><div>The author is Mr. Stuart Campbell. If I understand this quote correctly, your friend</div><div><br></div><div><br></div><div>expects the Board of Directors to raise $55K, but not the paid help. All of this while</div><div><br></div><div><br></div><div>they keep the Board of Directors in the dark. By keeping Form 990s to themselves</div><div><br></div><div><br></div><div>for five <span style="font-size: 12pt;">years running. Rhetorically speaking, Mr./Ms. SM, how is that reasonable?</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">Then we have the issue of the Board of Directors' actual responsibility. According </span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">to my reading of the California State law, it's acting in the best interests of the</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">corporation. Period. </span><span style="font-size: 12pt;">You can find the California Corporations Code here:</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><a href="http://www.leginfo.ca.gov/cgi-bin/displaycode?section=corp&group=05001-06000&file=5230-5239" target="_blank">http://www.leginfo.ca.gov/cgi-bin/displaycode?section=corp&group=05001-06000&file=5230-5239</a></div><div><br></div><div><br></div><div>I'm sure that your reading skills are much better than mine. So when you find the</div><div><br></div><div><br></div><div>part where the Board of Directors is supposed to do all the fundraising, please let</div><div><br></div><div><br></div><div>me know where it is.</div><div><br></div><div><br></div><div>And finally, the consequence for not rising to the occasion here. If the MCPB Board </div><div><br></div><div><br></div><div>doesn't pony up, KZYX will be in the hole. Am I reading that correctly?</div><div><br></div><div><br></div><div>Mr./Ms. SM, your friend's gumption is <span style="font-size: 12pt;">something to behold. I truly admire people</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">like that. As long as they're properly identified. Which is the point here.</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">Sincerely,</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">Scott M. Peterson</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">Mendocino</span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;">- - - - - - - - - - - - - - - - - - - - - - - - - </span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><span style="font-size: 12pt;"><br></span></div><div><br></div><div><br></div><div><br></div><div><br></div><div><br></div><div><br></div>                                            </div></body>
